By entering into a business relationship with us, you agree to adhere to the conditions set forth below. Orders & Payments: All orders must satisfy our minimum order quantity (MOQ) of 1000 pieces. Quotations provided by Ziphoria are valid for a limited time only and may be revised in response to changing market conditions or modifications to the order details. Orders are considered valid only after the quotation has been signed and payment has been received in accordance with the agreed terms. Timely payment is essential, and delayed or incomplete payments may result in a pause in production or dispatch.

Pricing: Unless explicitly mentioned in writing, all prices are exclusive of applicable taxes, duties, and shipping charges. Clients are responsible for covering these additional costs. Ziphoria reserves the right to revise prices without prior notice if there are fluctuations in raw material costs, currency rates, or other significant business factors.

Intellectual Property: All brand names, product designs, marketing content, and trademarks associated with Ziphoria are the sole intellectual property of the company. Clients are prohibited from reproducing, modifying, distributing, or misusing these assets without prior written consent. Unauthorized use of intellectual property may result in immediate termination of agreements and potential legal action.

Liability: While Ziphoria ensures the quality and timely delivery of its products, we are not responsible for indirect, incidental, or consequential damages resulting from factors beyond our control. These include, but are not limited to, third-party logistics delays, customs clearance issues, or unforeseen events such as natural disasters and strikes.

Termination:Ziphoria reserves the right to suspend or terminate agreements in cases of non-compliance, misuse of brand identity, breach of payment obligations, or unethical business practices. Clients may also request termination, subject to settlement of outstanding dues.

Jurisdiction: These terms are governed by the laws of India. Any disputes or legal proceedings shall fall under the jurisdiction of competent courts located in Delhi.
